These terms govern your use of Leadcode, a macOS application published by Resiliencely, Inc., a Delaware corporation ("we", "us"). By creating an account or using the application you agree to them.
Leadcode is a desktop control plane for running AI development tools against multiple provider accounts at once, keeping each account isolated from the others. It runs on your machine and launches third-party command-line tools that you install and authenticate yourself.
You need an account to use Leadcode. You are responsible for the accuracy of the information you give us, for keeping your password confidential, and for everything done under your account. Tell us promptly if you believe your account has been compromised. You must be at least 16 years old and legally able to enter into these terms.
Paid plans renew automatically each month until cancelled. Payment is processed by Stripe; by subscribing you also accept Stripe's terms. Prices are exclusive of tax unless stated otherwise, and we may add applicable sales tax or VAT.
You may cancel at any time through the customer portal. Cancellation takes effect at the end of the period you have already paid for, and you keep paid features until then. We do not provide pro-rated refunds for partial periods, except where required by law. If we change prices we will give existing subscribers at least 30 days' notice by email before the change applies to them.
If a payment fails and is not resolved, paid features stop. Your data, your accounts and your workspaces are not deleted — the application returns to the free plan's limits and everything you have already set up remains on your machine.
Leadcode launches command-line tools published by others — including Anthropic, OpenAI, Google and Amazon Web Services — using credentials you supply. Your use of each of those services is governed entirely by that provider's own terms, and you are responsible for any fees they charge you. We do not control those services, do not resell them, and are not responsible for their availability, output, pricing or conduct. Leadcode does not include access to any AI model or provider account.
You agree not to: use Leadcode in violation of any law or of a provider's terms; attempt to circumvent the plan limits or the licensing mechanism; resell, sublicense or provide Leadcode as a service to third parties; or reverse engineer the application except to the extent that restriction is unenforceable where you live.
Your code, your prompts and your agents' output are yours. We claim no rights over them, and as described in our Privacy Policy they never reach us.
Subject to these terms we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use Leadcode on machines you control, for as long as your account is in good standing. We retain all other rights in the software.
We may modify, suspend or discontinue any part of the service. If we discontinue a paid plan you are subscribed to, we will give you reasonable notice and refund the unused portion of your current period.
Leadcode is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. AI tools produce output that can be wrong. Leadcode runs those tools with the identity you bind to a workspace; you remain responsible for reviewing what they do, particularly where an agent can modify a repository or act against a production system.
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, or business, arising out of or relating to your use of Leadcode. Our total aggregate liability arising out of or relating to these terms will not exceed the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or 100 USD. Some jurisdictions do not allow these limitations, in which case they apply to the fullest extent permitted.
You agree to indemnify and hold us harmless from claims arising out of your use of Leadcode in breach of these terms or of any third-party provider's terms.
You may stop using Leadcode and delete your account at any time. We may suspend or terminate an account that breaches these terms. On termination your licence ends; the software on your machine stops unlocking paid features, and sections 6, 9, 10 and 11 survive.
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction. Nothing here removes any mandatory consumer right you have where you live.
